Terms and Conditions for Purchasing a vehicle from Carspring.co.uk ("Carspring Ltd.")

Please read these Terms and Conditions carefully as by using this website, you agree to be bound by these terms and conditions. You are deemed to have read and understood these terms and conditions, these conditions will be binding on all customers of Carspring.co.uk and all users of Carspring.co.uk website.



1. Summary

1.1 Carspring facilitates sales of vehicles along with additional services and protections, described further throughout this agreement.

1.2 Before the sale all vehicles will have been inspected and any modifications required will be carried out by an inspector on behalf of Carspring. Photographs will be professionally taken before the vehicle is listed on the website and all vehicles will come with a 14 day money back guarantee.

The additional features of Carspring are subject to certain restrictions that are described further throughout this agreement. Furthermore the use of Carspring services imposes certain commitments to the buyer and seller, which are described further below. Carspring recommends that you read the entire Agreement.



2. Definitions

2.1 "Carspring", "Carspring.co.uk", "Us", refers to Carspring ("Carspring Ltd."), 17 Hanover Square, Mayfair, London, W1S 1BN

2.2 "The Buyer", "You", The person agreeing to purchase a vehicle through the Carspring Website

2.3. "Goods" means all vehicles as defined, or other things to be sold by the Dealer to the Customer.

2.4 "Vehicle" includes any car, lorry, van, trailer, caravan, invalid carriage, motorcycle and generally each and every accessory to and component thereof.

2.5 "Agreement", "Terms" includes all the terms and conditions herein the Agreement, as well as those contained in Carspring’s Privacy Policy (https://www.carspring.co.uk/privacy-policy) and any contracts entered into between Carspring and a buyer, all of which are included in their entirety by reference. All of Carspring’s services are subject to this Agreement.



3. General Use

3.1 A. Registration and Amendments

By using Carspring’s services in any way, including but not limited to visiting or browsing our Carspring.co.uk website and/or registering for its use, you agree that you have fully read and accepted the terms and conditions of this "Agreement". As a user you must agree that Carspring reserve the right to modify the terms of this Agreement at any time without notice. The amended terms will be effective from the date they are posted on our website and your continued use of Carspring will constitute your acceptance of the amended terms.

3.2 Intended Use of the Website

Use of our website is intended only for residents of the United Kingdom, people of the age of eighteen (18) and older, and who are capable of entering into a valid contract; by accepting this Agreement you are confirming that you uphold these requirements. If this Agreement is being accepted on behalf of an organisation or person, you must confirm that you have the authority to do so. You must not use the website:

(i) In any way that breaches any applicable local, national or international law or regulation

(ii) In any way that has an unlawful or fraudulent purpose or effect

(iii) To knowingly transmit any data, send or upload any material that contains viruses or harmful programs designed to adversely affect the operation of any computer software or hardware

(iv) To obtain details for the purposes of harassing our staff or any other illegal activity

(v) Not to reproduce, duplicate, copy or re-sell any part of the website



3.3 Arbitration and Class Action Waiver

You agree that disputes will be handled following the terms outlined in Section 11 (Disputes).



4. Buying Vehicles

4.1 Once the buyer has agreed to purchase the vehicle Carspring will deliver the vehicle and the necessary paperwork and V5C form to the buyer.

4.2 Upon delivery,

(i) Carspring will present the buyer with all the disclosures and notifications,

(ii) the buyer and Carspring representative must sign and complete all the appropriate paperwork and contract,

(iii) buyer pays Carspring the full transaction fee of the listed car.



5. Buying a Vehicle on Carspring.co.uk

5.1 Subsequently to agreeing to the "Agreement" a prospective buyer is able to browse the website. Carspring displays professional photographs of each vehicle listed on Carspring.co.uk that have been taken of the vehicle at the inspection site, the photos are an accurate description of the vehicle at time of inspection only and are not exemplars, unless they are expressly mentioned on the website.

5.2 All vehicles listed by Carspring will be road worthy and will be sold with a valid MOT, unless otherwise stated.

5.3 Carspring may publish any third-party reports related to an individual vehicle but is in no way responsible for the reliability or accuracy of any such report.

5.4 The sale price listed on Carspring.co.uk for any vehicle is fixed and not subject to negotiation. The prices on the website are inclusive of VAT. An additional admin fee of £100 will be charged.

5.5 A prospective buyer reserves a vehicle by placing £100 deposit with Carspring.

5.6 When the prospective buyer has "reserved" the vehicle, the respective vehicle will be labelled "reserved" rendering it unavailable for purchase for any new party on Carspring.co.uk for:

(i) 3 Days while Carspring awaits confirmation of the full transaction or

(ii) an additional length of time, decided on an individual basis, at Carspring’s sole discretion should the prospective buyer (a) provide a valid reason for the payment to take longer, and (b) contact Carspring in reasonable time, deemed at the full discretion of Carspring.

 (iii) The reservation fee is refundable for a 2 day period immediately after it has been made by the customer. Immediately following this 2 day period the reservation fee becomes non-refundable and is used as an admin fee to process the sale.

(iv) if there is no contact over the 3 day limit or inadequate reasons for not purchasing the vehicle before the reservation fee will not be refunded and the car will be available for other customers.

 

5.7 Once a vehicle is reserved Carspring will act to

(i) Obtain the necessary documentation

(ii) Confirm the purchase price of the vehicle in question

(iii) Obtain all necessary signatures and sign all applicable documents



5.8 Should Carspring be unable to (i) obtain the driver logbook, (ii) obtain all necessary signatures from the seller to accomplish a transfer of title within 14 days, then Carspring will inform the buyer by email or voicemail that the vehicle is no longer for sale, the customer will have his deposit returned and the vehicle will be made available again.

5.9 If there is no contact between Carspring and the customer for a 3 day period your deposit will be not refunded, and the vehicle will be available for another customer. If the car is removed by Carspring due to some unforeseen circumstance you will be entitled to a full refund and Carspring apologises for any inconvenience caused.

5.10 Carspring reserves the right to change the price either before or after accepting any order. Once the buyer has ‘reserved’ the vehicle, Carspring shall notify you if this change affects your reserved vehicle and you have the right to cancel your order if the change is not acceptable, in which case your deposit will be returned in full.

5.11 Carspring may act as an intermediary between the buyer and selected third party finance providers. Decisions are always made in this best interest of the customer and we uphold the treat the customer fairly policy as stated by the FCA guidelines. These 3rd party finance providers will be subject to our privacy policy (https://www.carspring.co.uk/privacy-policy).

5.12 Any personal information collected from you will be used purely for the purposes of administration, processing the purchase or sale of the vehicle. Please note there may be times when we use third parties, such as finance brokers. With such situations we will require any party to adhere to our strict privacy instructions. We are also entitled to track certain behaviour on Carspring using cookies and other devices. However this is purely for internal research, and details will not be shared.

5.13 Completion of sale occurs when

(i) Passport has been received and details recorded

(ii) V5C has been signed by both parties

(iii) Delivery details confirmed

(iv) Money has been transferred



5.14 Upon acceptance of the contract the Buyer will be given an invoice detailing the full cost of the vehicle along with any additional charges. The buyer and Carspring will mutually execute a contract memorialising the terms of the sale. A buyer is able to pay for the vehicle by:

(i) credit card,

(ii) debit card,

(iii) bank transfer,

(iv) through a 3rd party finance company, and

(iv) any combination of the above



5.15 Terms of Payment

(i) Payment is due at the time of the contract execution completion.

(ii) All vehicles delivered to the Buyer are without any liens previously attached to the vehicle and come with any required notifications and disclosures.

(iii) Carspring will retain ownership of the goods until they have been paid for.

(iv) Terms concerning delivery are stated below.

(v) Permission must have been given if Carspring are to accept final payment from a third party such as a finance/leasing company.

5.16 Carspring may use a third-party payment processor to conduct any and all the transaction, including, but not limited to billing, compensation, and payment via the linked Carspring account.

5.17 The payment processing will be subject to the respective terms and conditions and privacy policies of this Agreement as well as those of the third-party payment processor. Any errors by the third-party payment processor are not the responsibility of Carspring. In choosing to a complete a transaction with Carspring you agree to pay via the third-party payment process chosen at Carspring’s discretion in accordance with the applicable payment terms, which will be outlined in an invoice prior to sale. Carspring’s third-party payment processor will charge a 1% fee that will be incorporated into Carspring’s non-negotiable mark-up fee.



6. Delivery

6.1 At the time of purchase the buyer will choose the delivery time and date, which Carspring will then endeavour to meet.

6.2 Carspring will aim to deliver the vehicle on the delivery date (if any), and will give you warning if there are any delays involved. If you experience any delays or issues you must warn Carspring at least 24 hours before scheduled pick up. If you cancel after the 24 hour limit and Carspring cannot find an easy alternative, we will be charged for you for the cancelled delivery and will be required to pay an additional delivery charge for the second time.

6.3 Where delivery is delayed, Carspring shall, keep the customer informed at all times. If Carspring cannot deliver the goods at the time requested by the customer we shall endeavour to find a suitable alternative. If no alternative can be found, and no suitable arrangement can be agreed on at your wish we can consider the contract cancelled at which point you will be entitled to a refund of your deposit.

6.4 If you do not pay for and take delivery of your vehicle within 14 days of notification that the vehicle is available for delivery without a prior warning or explanation, Carspring shall be at liberty to treat the contract as annulled, thereby making the vehicle available for another customer. If we do not have any communication with you over this period you shall not be entitled for a refund on your deposit.

6.5 Carspring reserves the right to make a reasonable daily charge for the storage of the vehicle or vehicles which will be agreed upon before the contract is signed and all costs shown. Carspring make a point of no hidden all inclusive costs.

6.6 On delivery of the vehicle you will be required to sign a buyer’s declaration confirming you have inspected the vehicle, it is undamaged and complies with the details included in the details form. If it does not match you should inform Carspring immediately quoting the inspection sheet and reporting the issue to an employee.

6.7 If the vehicle is rejected and the decision is agreed by Carspring, you will be entitled to:

(i) receive a full refund

(ii) have the vehicle repaired free of charge up to the prearranged standard.



7. Money-back Guarantee

7.1 Every vehicle listed on Carspring.co.uk comes with a 14-day money back guarantee. You are entitled to return the vehicle to Carspring within 14 days of delivery and receive a refund subject to the following conditions.

7.2 The vehicle must be returned in the same condition as it was at time of delivery and must have not exceeded a reasonable mileage for testing purpose. You are liable for any diminished value of the Goods resulting from the handling other than what is necessary to establish the nature, characteristics and functioning of the Goods.

(i) a "reasonable mileage for testing purpose" is 50 miles for each day that vehicle is in the buyer’s possession and reaching a total of 500 miles, whichever mileage is less. The full refund offered to you will be reduced by £1 for every mile the vehicle is driven over the "reasonable mileage for testing purpose".

(ii) To the extent that the vehicle has been damaged or in an adverse state to its condition on delivery Carspring hold the right to refuse refund of any portion of the purchase price relating to such damage, and are entitled to reduce the refund total by the amount required to return the vehicle to its previous condition at the time of delivery to the buyer.



7.3 This cancellation period will expire 14 days after the day on which you, or a third party on your behalf, takes delivery or otherwise acquires physical possession of the Goods.

7.4 In the eventuality that a buyer returns their vehicle to Carspring you must inform us of your decision to cancel this Agreement in writing by clear statement (e.g. a letter sent by post, fax or email) to Carspring at Carspring, 17 Hanover Square, Mayfair, London, W1S 1BN.

7.5 If you cancel this Agreement, we will reimburse to you all payments received from you under this Agreement, without undue delay, and not later than:

(i) 14 days after the day on which the we receive the Goods back; or

(ii) (if earlier) 14 days after the day you provide evidence that you have returned the Goods; or

(iii) If there were no Goods supplied, 14 days after the day on which we are informed about your decision to cancel this Agreement, you shall not be reimbursed.



7.6 We will make the reimbursement using the same means of payment as you have used for the initial transaction, unless agreed otherwise, but in any event you will not incur any additional fees as a result of the reimbursement.

7.7 You are required to return the vehicle and all documentation provided at time of sale, including, but not limited the registration documents (V5C) and all service records. We will require that you bear the cost of returning the Goods to us.

7.8 We may withhold reimbursement until we have received the Goods back or you have sent evidence of having sent back the Goods to us, whichever is the earliest and providing it is within the 14 day limit.

7.9 For returning the goods you may either deliver them back to us at the address shown overleaf, or arrange a time and place and we will pick the vehicle up from you free of charge.

7.10 Carspring will determine any reduction in the total refund, in its sole discretion and Carspring will prove an accounting to the buyer that reflects the amount and reason of any deductions. Following a refund to the buyer by Carspring, as an owner of the vehicle, Carspring is able to list the vehicle for sale on Carspring.co.uk

7.11 This is a money back guarantee only. Whilst the buyer may return the vehicle for any reason, Carspring does not offer any partial refunds and does not renegotiate the purchase price of the vehicle for any reason.



8. User Generated Content

8.1 Prohibited Actions

As a user on Carspring.co.uk you are solely responsible for how you use Carspring’s Services and your communications. By being a user on Carspring.co.uk you must agree not to do any of the following:

(i) Post or transmit any libellous, indecent, fraudulent, obscene, deceptive, defamatory, abusive or pornographic message, data, image, content or program;

(ii) post or transmit any message, data, image, content or program that violates any property rights of others;

(iii) use Carspring’s Services to harass, threaten or otherwise violate the legal rights (including, but not limited to the privacy an publicity rights) of others;

(iv) upload or download files that contain software, logos, marks, data, images, content or other material protected by intellectual property laws, rights of privacy or publicity, or any other applicable law, unless you own,, have necessary authority or have the control of the rights to use such files or material;

(v) upload files that may contain corrupted data or a virus; (vi) falsify the origin of software or any other material contained in a file that you upload;

(vi) falsify your identity or purport to be an employee or agent of Carspring;

(vii) be likely to deceive any person

(viii) be in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.

(ix) act in a manner contrary to applicable laws or regulations when using any of Carspring’s services; or

(x) act to circumvent, disable or otherwise interfere with the security features of Carspring including but not limited to preventing or restricting use or copying any content or enforce limitations on use of the Carspring Service or the content.



8.2 Carspring’s Exclusive Rights to Manage the User Submissions.

As a user you are fully aware:

(i) Any materials and/or other information (including, but not limited to, ideas contained therein for new or improved products or services) you post, transmit, upload or submit to Carspring Services, including but not limited to comments, forum messages, reviews, text, video, audio, photographs, computer code and applications (each, a "User Submission") may be edited, removed, deleted, modified, transmitted, published and displayed by Carspring, in its sole discretion and without user permission, waive any of your rights (inclusive of moral rights) to prevent the material being amended or changed in a manner that you deem unacceptable.

(ii) You irrevocably agree that we are entitled to remove, disable and restrict access to or the availability of any User of Carspring Services at any time, at the sole discretion of Carspring.

(iii) Carspring reserves the right to block content that Carspring deems offensive, lewd, obscene, lascivious, violent, filthy, harassing, threatening, illegal, abusive, disgusting, libellous, defamatory, fraudulent, deceptive, misleading or in anyway objectionable to Carspring, or to enforce the rights of third-parties or the content restrictions laid out in the sections in this Agreement when notice of their violation comes to Carspring’s attention. Carspring are not responsible for controlling or editing any content and has no contractual obligation to remove inappropriate or unlawful content. There are no circumstances where Carspring will be held liable for/or not for removing, disabling or restricting access to or the availability of content.



8.3 Carspring licence from your User Submissions

Upon using Carspring.co.uk you grant Carspring to use your User Submissions for a range of purposes, including but not limited to internal research, technology and statistics. In addition, unless prohibited by law you accept you are unable to have any recourse against Carspring for use of your User Submission. If you find any use of your User Submission for any of the above, you must immediately call Carspring to let them know you are not willing for you details to be used or passed on in any way whatsoever.

8.4 Warranties and Representations Related to Your User Submissions on Carspring.co.uk.

For every user submission, you represent and warrant that, as to the respective User Submission,

(i) you are the only author and owner of the rights to the User Submission, obtain the lawful right to submit the User Submission, and owner of the intellectual property and grant Carspring ownership of these rights, all without any requirements to obtain consent of any third-party and without creating an liability of Carspring;

(ii) the User Submission must be accurate;

(iii) the User Submission does not violate this Agreement or cause harm to any person (mental or physical);

(iv) the User Submission will comply with all appropriate and applicable laws and regulations; and

(v) the User Submission does not in any way infringe any intellectual property or other right of any third-party.



8.5 User Responsibility

As a user of Carspring’s Services and website Carspring.co.uk you are fully responsible for the content of, and any subsequent hard resulting from, your User Submission. Carspring are not liable or responsible for any User Submission posted on Carspring Services or Carspring.co.uk or any third-party website linked to the Carspring Services, and makes no guarantee or warranty about the accuracy, validity, copyright compliance, legality or any other aspect of the User Submission.

8.6 Accuracy and Validity of Information on Carspring.co.uk

Carspring has designed the website to provide valid, accurate and up-to-date information on Carspring’s inventory to facilitate the used car purchase and sale needs of customers. The content on Carspring.co.uk is added by the previous owner and should be considered as a guideline only. All vehicles sold will benefit from an inspection by us. The definitive descriptions of our vehicles will be bound to their respective inspector’s report. Where that Carspring.co.uk includes inaccuracies anywhere but within the detailed inspection Carspring will not be responsible.

8.7 Proprietary and Ownership Rights

Our website design, layout, look, appearance and source code, software and all of the material used on Carspring.co.uk, unless specifically stated, is owned exclusively by Carspring. In agreeing to the Agreement you accept that all material and content available on this website are protected by copyrights, trademarks, trade secrets, patents, service marks, and/or other proprietary or intellectual property rights and laws. By allowing the user access to Carspring.co.uk Carspring do not grant you any licence to use this information for any purpose without the express written consent of Carspring; however Vehicle information may be printed for users for the sole purpose of placing an order with us or for using an affiliated website. You are not entitled to otherwise alter, amend, copy, create derivative works from, display, reverse engineer, edit, license, modify, rent, sell, reproduce, and/ or transmit any part of this website. You may not use meta tags or any other "discrete texts" using any of Carspring’s trademarks or names without written consent of Carspring. In addition direct linking, deep linking, framing, page-jacking, spoofing, hacking, data-mining and use a spider, robot or any automated device of any kind to monitor or copy Carspring.co.uk is strictly prohibited.



9. Intellectual Property

Carspring is a registered trademark of Carspring. Unauthorised use, replication or other violations of trademark law of any kind will be prosecuted to the maximum extent of the law.



10. Warranty Disclaimer

Carspring make no representations about the suitability of the information and related graphics displayed on Carspring.co.uk for any particular purpose. All information displayed on Carspring.co.uk is provided for guidance only.

Your statutory rights under the Sale and Supply of Goods Act and consumer legislation are not affected by these terms and conditions.



11. Disputes

11.1 Carspring and you as the user agree that the intention of section 10 is to satisfy the requirements of the law of England & Wales.

11.2 Should any allegations or claims (collectively termed "dispute") arise out of User Submissions, this Agreement, Carspring Services, the content available on Carspring.co.uk then you agree to send in a written description to support@Carspring.co.uk or to Carspring, 17 Hanover Square, Mayfair, London, W1S 1BN, thoroughly outlining the Dispute, along with a proposed resolution that Carspring can provide. Carspring’s response will be sent to the email address provided by the user and should the email address not be valid or up-to-date than again Carspring are under no obligation to respond. Up to a period of 60 (sixty) days from the date of receipt of notice from the other party Carspring and you will engage in a dialogue considered to be in good faith in order to resolve the Dispute.

11.3 Should a resolution to the Dispute not be met within the 60 (sixty) day period set out in section 10 B than either you or we may submit the Dispute to our respective legal representatives.



12. Carspring usage and ownership of Customer Information

All information submitted to Carspring via our website will remain the property of Carspring. Carspring are entitled to use any information submitted for any purpose we feel appropriate in accordance with the Agreement and Carspring’s Privacy Policy.



13. Violations of Carspring’s Agreement

Under the circumstances that as a user you attempt to, or violate any part of Carspring’s Agreement, Carspring hold the right, at our sole discretion, to block your access to Carspring.co.uk immediately without notice and opportunity to appeal. Carspring also holds the right to involve the appropriate law enforcement agencies, and pursue a lawsuit or criminal prosecution for all actual or alleged illegal activities involved with Carspring.co.uk or the Services of Carspring.



14. Indemnification

As a user you agree to defend, indemnify and hold Carspring irresponsible from and against any and all claims, proceedings, injuries, losses, costs, damages, and expenses (inclusive of any lawyer fees), as a consequence of your use of this Carspring.co.uk that leads to any claim against Carspring by a third-party, irrespective of the claim or cause of action.



15. Severability and Integration

In the situation that the part of Agreement outlined herein cannot be enforced than the remainder shall continue be enforced in its full force. As a user you must agree to and be fully aware that the Agreement, including all referenced documents, represents the agreement in its entirety that you must make when using Carspring.co.uk, the mobile app and any of Carspring’s Services. Carspring’s Agreement cannot be modified expressly or by implication, except as set forth in Section 15.



16. Modification to Carspring’s Agreement

As a user you must agree that Carspring reserve the right to modify the terms of this Agreement at any time without notice. The amended terms will be effective from the date they are posted on our website and your continued use of Carspring will constitute your acceptance of the amended terms.



17. Website Content

Carspring.co.uk includes materials and information collected from and provided by third-party organisations that Carspring does not evaluate or review and is thus not responsible for. If not directly stated Carspring do not make any guarantees of the accuracy, validity, timeliness or reliability of any information included on Carspring.co.uk. Should any content on Carspring.co.uk be inaccurate to your knowledge please inform us at help@carspring.co.uk.



18. Links to third-party websites

Carspring’s Services and Carspring.co.uk may provide links to third-party websites. Carspring are not responsible for the accuracy or reliability of any information, data, and opinion statements or content on the third-party websites, and access to these third-party websites are your own risk. Carspring is not liable for any damage or loss caused directly or indirectly by the respective third-party websites and any offensive content they contain. The third-party websites are not governed by the Agreement outline on Carspring.co.uk



19. Reservation of Rights

All rights that are not expressly granted to you or stated in the Agreement are reserved by Carspring.



20. Applicable Law

This Agreement will be governed by and construed in accordance with, and any Dispute and Excluded Dispute will be resolved in accordance with, the laws of England and Wales without regard to its conflict of law provisions.

Use of our website is intended only for residents of the United Kingdom, people of the age of eighteen (18) and older, who have are capable of entering into a valid contract; by accepting this Agreement you are confirming that you uphold these requirements. If this Agreement is being accepted on behalf of an organization or person, you must confirm that you have the authority to do so. You must not use the website:

a. In any way that breaches any applicable local, national or international law or regulation

b. In any way that has an unlawful or fraudulent purpose or effect

c. To knowingly transmit any data, send or upload any material that contains viruses or harmful programs designed to adversely affect the operation of any computer software or hardware

d. To obtain details for the purposes of harassing our staff or any other illegal activity

e. Not to reproduce, duplicate, copy or re-sell any part of the website

3.3 Arbitration and Class Action Waiver

You agree that disputes will be handled following the terms outlined in Section 14 (Disputes).

4. Selling the Vehicle to Carspring

4.1 Once Carspring has agreed to purchase the vehicle from the seller and all necessary paperwork has been signed Carspring will transfer the appropriate sum of money to the seller in exchange for the vehicle.

4.2 Before agreeing to purchase your vehicle, Carspring will require you to send 9 photos; these shall be delivered to selling@carspring.co.uk

a. One from each corner of your car. This should be taken at waist height and include the whole car in the image (4 photos)

b. One of the front seats, one of the back seats (2 seats)

c. One of the odometer, with the engine running (1 photo)

d. One of both the car’s V5C document and its services book (2 photos)

4.3 Once the photos have been sent Carspring will guarantee you a price as previously quoted, however this is not fixed and is subject to your vehicle fulfilling a number of previously held assumptions about your vehicle; these assumptions are detailed in section 5.

4.4 If you fail to present any of the above or to fulfil the future obligations explained in the agreement Carspring holds the right to withdraw any payment and to cancel any agreement made.

4.5 Once all criteria have been filled in and a quote price has been sent, you will arrange a time and date for Carspring to pick-up the car. Please note, all personal details are subject to our privacy agreement and no details shall be passed onto any other website.

4.6 After selecting a pick-up time and date, subject to conditions outlined in Section 6, you will be met by one of our partners who will conduct the required checks. Once all checks have been covered and the car passes, you are required to sign a seller’s declaration.

4.7 Providing all checks have been passed. You will be required to sign the seller’s declaration and hand over all documentation. Upon notification Carspring will release the payment in full subject to conditions, and send you a confirmation note within 24 hours of signing the declaration.

(i) Payment may take up to 4 business days to process, Carspring is in no way liable for the length of time

(ii) If you would prefer to use faster payments which might incur added costs, you will be charged for the costs. These will either be deducted from the total value paid to you or as an invoice.

(iii) No payment will be transferred over the weekend. However after signing the declaration Carspring are required by law to pay you your full entitled amount, and therefore payment will be transferred on the Monday of the new week.

4.8 The payment processing will be subject to the respective terms and conditions and privacy policies of this Agreement as well as those of the third-party payment processor. Any errors by the third-party payment processor are not the responsibility of Carspring. In choosing to a complete a transaction with Carspring you agree to pay via the third-party payment process chosen at Carspring’s discretion in accordance with the applicable payment terms, which will be outlined in an invoice prior to sale. Carspring’s third-party payment processor will charge a 1% fee that will be incorporated into Carspring’s non-negotiable mark-up fee.

4.9 If you have remaining finance on the car you are intending to sell to Carspring you must let Carspring know at the outset of our communication regardless of whether the sale is completed. If your vehicle does have outstanding finance you have the following options:

(i) You may pay off the remaining finance yourself before selling the vehicle to Carspring. Proof of payment must have been provided by the finance company in this situation.

(ii) You will be offered the difference between the offered price and the amount left on your finance application with your respective loan company. Carspring will then proceed to settle the remaining amount with the finance company. This is subject to the terms and conditions of the 3rd party, any deal to settle a car on finance has to have been approved by all parties involved. If there is an issue regarding the finance the contract will be considered as annulled.

(iii) Please be aware that all finance arrangements must be settled prior to Carspring signing the contract

4.10 If you have finance on a car which you did not declare at the start, it is up to Carspring’s discretion whether or not to annul your contract. Carspring will be in no way liable for any unpaid finance.

5. Conditions for Carspring to accept your vehicle

5.1 Carspring will pay the price quoted to you after we have seen the photos; however this is subject to our appraisal of the vehicle. If it has any of the following issues, Carspring are entitled to change the price to a fresh offer we feel correctly values the vehicle in question.

5.2 It is a non-runner – Upon Carspring picking up your vehicle, if you vehicle does not start we are under no obligation to pay for the vehicle and the contract will be annulled. You will also be entitled to pay for the pick-up charge.

5.3 It has not been used in a commercial capacity - These are cars that have been used in roles such as private hire, taxi, rental, driving tuition or as a police vehicle.

5.4 Does not have a personalised registration. The online valuation system does not provide accurate prices for cars with personalised plates. If your car has these plates, please give our customer service team a call on 020 3808 8294 for a confirmed guaranteed price.

5.5 Is not an import vehicle – This constitutes any vehicle that has been purchased overseas and brought over to the UK; this includes Ireland and the EU.

5.6 Is not an insurance write-off - If your car has been in at any time in past involved in a serious accident, it will categorised by the Association of British Insurers (ABI) as either a category C or D write-off. We will not accept these cars.

5.7 Does not have serious mechanical faults. If the vehicle has any major mechanical faults not previously seen in the photo valuation Carspring are fully entitled to alter their offer. This change in price is up to Carpsring’s discretion or, in the case of the car being picked up, up to the discretion of our third party representatives.

5.8 If any documentation is missing or not in working order Carspring is entitled to cancel the contract.

5.9 Please note should any of the above be violated Carspring are fully entitled to change any price, regardless of any previous price Carspring quote.

6. Conditions relating to the picking-up the vehicle

6.1 At the time of selling the seller will choose a delivery time and date, which Carspring will then endeavour to meet. However it cannot guarantee the time of delivery shall be the same as requested. After purchase of the vehicle a set time shall be arranged which we will both agree on.

6.2 Where pick-up is delayed, Carspring shall, keep the customer informed at all times. If we are unable to pick the car up within 24 hours of the prearranged time you may be entitled to some compensation at Carspring’s discretion.

6.3 Whilst Carspring may arrange with you the time and date of a pick-up, actual picking-up is undertaken by a separate company. As a result they will be our representative, if there are any issues with the state of the vehicle they will report the issue to us. They will sign and check the details involved and once they are happy, we will transfer you the money which subject to your choice of payment will be with you in 4 working days.

6.4 If the car exceeds expectations, you will be entitled to a bonus payment.

6.5 If we arrive within the time confirmed and you are not present within 2 hours of the time agreed you will be charged for the call out fee of our partner and will have to contact our customer support team in order to re-arrange another appointment.

6.6 Please ensure there is at least ½ a tank of fuel, unless you have already agreed to a higher or lower amount. Either scenario may affect the bonus awarded to you by Carspsring.

7. Amending the price

7.1 Carspring holds the right to amend the "Carspring’s Guaranteed Price" in the event of any post-inspection damage and/or the driver has exceeded the 3,000 mile limit.

7.2 The price set by Carspring is unnegotiable, if the car fails one of the stated conditions you will be required to pay our partners call out fee and the contract will be cancelled. You will then have to re-apply to Carspring as your car will now be considered a new application. Under no circumstances should you be allowed to ‘haggle’ or re-negotiate the price given to you by Carspring.

7.3 Carspring do offer a ‘bonus amount’ if you car exceeds expectations. This amount is down to the sole discretion of Carspring.

8. User Generated Content

8.1 Prohibited Actions

As a user and customer of Carspring you are solely responsible for how you use Carspring’s Services and your communications. By being a user on Carspring.co.uk you must agree not to do any of the following:

(i) Post or transmit any libellous, indecent, fraudulent, obscene, deceptive, defamatory, abusive or pornographic message, data, image, content or program;

(ii) post or transmit any message, data, image, content or program that violates any property rights of others;

(iii) use Carspring’s Services to harass, threaten or otherwise violate the legal rights (including, but not limited to the privacy an publicity rights) of others;

(iv) upload or download files that contain software, logos, marks, data, images, content or other material protected by intellectual property laws, rights of privacy or publicity, or any other applicable law, unless you own,, have necessary authority or have the control of the rights to use such files or material;

(v) upload files that may contain corrupted data or a virus; (vi) falsify the origin of software or any other material contained in a file that you upload;

(vi) falsify your identity or purport to be an employee or agent of Carspring;

(vii) be likely to deceive any person

(viii) be in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.

(ix) act in a manner contrary to applicable laws or regulations when using any of Carspring’s services; or

(x) act to circumvent, disable or otherwise interfere with the security features of Carspring including but not limited to preventing or restricting use or copying any content or enforce limitations on use of the Carspring Service or the content.

8.2 Carspring’s Exclusive Rights to Manage the User Submissions.

As a user you are fully aware:

(i) Any materials and/or other information (including, but not limited to, ideas contained therein for new or improved products or services) you post, transmit, upload or submit to Carspring Services, including but not limited to comments, forum messages, reviews, text, video, audio, photographs, computer code and applications (each, a "User Submission") may be edited, removed, deleted, modified, transmitted, published and displayed by Carspring, in its sole discretion and without user permission, waive any of your rights (inclusive of moral rights) to prevent the material being amended or changed in a manner that you deem un-agreeable.

(ii) You irrevocably agree that we are entitled to remove, disable and restrict access to or the availability of any User of Carspring Services at any time, at the sole discretion of Carspring.

(iii) Carspring reserves the right to block content that Carspring deems offensive, lewd, obscene, lascivious, violent, filthy, harassing, threatening, illegal, abusive, disgusting, libellous, defamatory, fraudulent, deceptive, misleading or in anyway objectionable to Carspring, or to enforce the rights of third-parties or the content restrictions laid out in the sections in this Agreement when notice of their violation comes to Carspring’s attention. Carspring are not responsible for controlling or editing any content and has no contractual obligation to remove inappropriate or unlawful content. There are no circumstances where Carspring will be held liable for/or not for removing, disabling or restricting access to or the availability of content.

8.3 Carspring licence from your User Submissions

Upon using Carspring.co.uk you grant Carspring to use your User Submissions for a range of purposes, including but not limited to internal research, technology and statistics. In addition, unless prohibited by law you accept you are unable to have any recourse against Carspring for use of your User Submission. If you find any use of your User Submission for any of the above, you must immediately call Carspring to let them know you are not willing for you details to be used or passed on in any way whatsoever.

8.4 Warranties and Representations Related to Your User Submissions on Carspring.co.uk.

For every user submission, you represent and warrant that, as to the respective User Submission,

(i) you are the only author and owner of the rights to the User Submission, obtain the lawful right to submit the User Submission, and owner of the intellectual property and grant Carspring ownership of these rights, all without any requirements to obtain consent of any third-party and without creating an liability of Carspring;

(ii) the User Submission must be accurate;

(iii) the User Submission does not violate this Agreement or cause harm to any person (mental or physical);

(iv) the User Submission will comply with all appropriate and applicable laws and regulations; and

(v) the User Submission does not in any way infringe any intellectual property or other right of any third-party.

8.5 User Responsibility

As a user of Carspring’s Services and website Carspring.co.uk you are fully responsible for the content of, and any subsequent hard resulting from, your User Submission. Carspring are not liable or responsible for any User Submission posted on Carspring Services or Carspring.co.uk or any third-party website linked to the Carspring Services, and makes no guarantee or warranty about the accuracy, validity, copyright compliance, legality or any other aspect of the User Submission.

8.6 Accuracy and Validity of Information on Carspring.co.uk

Carspring has designed the website to provide valid, accurate and up-to-date information on Carspring’s inventory to facilitate the used car purchase and sale needs of customers. The content on Carspring.co.uk is added by the previous owner and should be considered as a guideline only. All vehicles sold will benefit from an inspection by us. The definitive descriptions of our vehicles will be bound to their respective inspector’s report. Where that Carspring.co.uk includes inaccuracies anywhere but within the detailed inspection Carspring will not be responsible.

8.7 Proprietary and Ownership Rights

Our website design, lay out, look, appearance and source code, software and all of the material used on Carspring.co.uk, unless specifically stated, is owned exclusively by Carspring. In agreeing to the Agreement you accept that all material and content available on this website are protected by copyrights, trademarks, trade secrets, patents, service marks, and/or other proprietary or intellectual property rights and laws. By allowing the user access to Carspring.co.uk Carspring do not grant you any licence to use this information for any purpose without the express written consent of Carspring; however Vehicle information may be printed for users for the sole purpose of placing an order with us or for using an affiliated website. You are not entitled to otherwise alter, amend, copy, create derivative works from, display, reverse engineer, edit, license, modify, rent, sell, reproduce, and/ or transmit any part of this website. You may not use meta tags or any other "discrete texts" using any of Carspring’s trademarks or names without written consent of Carspring. In addition direct linking, deep linking, framing, page-jacking, spoofing, hacking, data-mining and use a spider, robot or any automated device of any kind to monitor or copy Carspring.co.uk is strictly prohibited.

9. Intellectual Property

Carspring is a registered trademark of Carspring. Unauthorised use, replication or other violations of trademark law of any kind will be prosecuted to the maximum extent of the law.

10. Warranty Disclaimer

Carspring make no representations about the suitability of the information and related graphics displayed on Carspring.co.uk for any particular purpose. All information displayed on Carspring.co.uk is provided for guidance only.

Your statutory rights under the Sale and Supply of Goods Act and consumer legislation are not affected by these terms and conditions

11. Disputes

11.1 Carspring and you as the user agree that the intention of section 10 is to satisfy the requirements of the law of England & Wales.

11.2 Should any allegations or claims (collectively termed "dispute") arise out of User Submissions, this Agreement, Carspring Services, the content available on Carspring.co.uk then you agree to send in a written description to help@Carspring.co.uk or to (address of Carspring office) thoroughly outlining the Dispute, along with a proposed resolution that Carspring can provide. Carspring’s response will be sent to the email address provided by the user and should the email address not be valid or up-to-date than again Carspring are under no obligation to respond. Up to a period of 60 (sixty) days from the date of receipt of notice from the other party Carspring and you will engage in a dialogue considered to be in good faith in order to resolve the Dispute.

11.3 Should a resolution to the Dispute not be met within the 60 (sixty) day period set out in section 10 B than either you or we may submit the Dispute to our respective legal representatives.

12. Carspring usage and ownership of Customer Information

All information submitted to Carspring via our website will remain the property of Carspring. Carspring are entitled to use any information submitted for any purpose we feel appropriate in accordance with the Agreement and Carspring’s Privacy Policy.

13. Violations of Carspring’s Agreement

Under the circumstances that as a user you attempt to, or violate any part of Carspring’s Agreement, Carspring hold the right, at our sole discretion, to block your access to Carspring.co.uk immediately without notice and opportunity to appeal. Carspring also holds the right to involve the appropriate law enforcement agencies, and pursue a lawsuit or criminal prosecution for all actual or alleged illegal activities involved with Carspring.co.uk or the Services of Carspring.

14. Indemnification

As a user you agree to defend, indemnify and hold Carspring irresponsible from and against any and all claims, proceedings, injuries, losses, costs, damages, and expenses (inclusive of any lawyer fees), as a consequence of your use of this Carspring.co.uk that leads to any claim against Carspring by a third-party, irrespective of the claim or cause of action.

15. Severability and Integration

In the situation that the part of Agreement outlined herein cannot be enforced than the remainder shall continue be enforced in its full force. As a user you must agree to and be fully aware that the Agreement, including all referenced documents, represents the agreement in its entirety that you must make when using Carspring.co.uk, the mobile app and any of Carspring’s Services. Carspring’s Agreement cannot be modified expressly or by implication, except as set forth in Section 15.

16. Modification to Carspring’s Agreement

As a user you must agree that Carspring reserve the right to modify the terms of this Agreement at any time without notice. The amended terms will be effective from the date they are posted on our website and your continued use of Carspring will constitute your acceptance of the amended terms.

17. Website Content

Carspring.co.uk includes materials and information collected from and provided by third- party organisations that Carspring do not evaluate or review and are thus not responsible for. If not directly stated Carspring do not make any guarantees of the accuracy, validity, timeliness or reliability of any information included on Carspring.co.uk. Should any content on Carspring.co.uk be inaccurate to your knowledge please inform us at help@Carspring.co.uk.

18. Links to third-party websites

Carspring’s Services and Carspring.co.uk may provide links to third-party websites. Carspring are not responsible for the accuracy or reliability of any information, data, opinion statements or content on the third-party websites, and access to these third-party websites are your own risk. Carspring is not liable for any damage or loss alleged or actually caused directly or indirectly connected to the respective third-party websites and any offensive content they contain. The third-party websites are not governed by the Agreement outline on Carspring.co.uk.

19. Reservation of Rights

All rights that are not expressly granted to you or stated in the Agreement are reserved by Carspring.

20. Applicable Law

This Agreement will be governed by and construed in accordance with, and any Dispute and Excluded Dispute will be resolved in accordance with, the laws of England and Wales without regard to its conflict of law provisions.

Cancellation Policy

1. Every vehicle listed on Carspring.co.uk comes with a 14-day money back guarantee subject to certain conditions.

2. The 14-day money back guarantee states that as long as

(i) the vehicle has not exceeded the "Maximum Mileage" (50 miles for each day that vehicle is in the buyer’s possession and/or reaching a maximum of 500 miles, whichever is mileage is less). If the vehicle has exceeded either of these amounts the full refund offered to you will be reduced by £1 (one pound sterling) for every mile the vehicle is driven over the pre specified amount; and

(ii) the vehicle is deemed to be in the same condition it was in at the time of delivery, you will be liable for any diminished value of the goods. If the vehicle’s conditions has significantly been reduced, Carspring hold the right to refuse the vehicle back at the same price and are entitled to reduce the refund total by the amount required to return the vehicle to its previous condition. Subject to these a buyer is entitled to, within 14 days of delivery, if you return the vehicle to Carspring and receive a full refund.

This cancellation period will expire 14 days after the day on which you, or a third party on your behalf, takes delivery or otherwise acquires physical possession of the Goods

This is a money back guarantee only. Whilst the buyer may return the vehicle for any reason, Carspring does not offer any partial refunds and does not renegotiate the purchase price of the vehicle for any reason.

In the eventuality that a buyer returns their vehicle to Carspring you must inform us of your decision to cancel this Agreement in writing by clear statement (e.g. a letter sent by post, fax or email) to Carspring at Carspring, 17 Hanover Square, Mayfair, London, W1S 1BN.

3. If you cancel this Agreement, we will reimburse to you all payments received from you under this Agreement, without undue delay, and not later than:

(i) 14 days after the day on which the we receive the Goods back; or

(ii) (if earlier) 14 days after the day you provide evidence that you have returned the Goods; or

(iii) If there were no Goods supplied, 14 days after the day on which we are informed about your decision to cancel this Agreement.

4. We will make the reimbursement using the same means of payment as you have used for the initial transaction, unless you have expressly agreed otherwise, but in any event you will not incur any fees as a result of the reimbursement.

5. You are required to return the vehicle and all documentation provided at time of sale, including, but not limited the registration documents (V5C) and all service records. We will require that you bear the cost of returning the Goods to us.

6. We may withhold reimbursement until we have received the Goods back or you have sent evidence of having sent back the Goods to us, whichever is the earliest. You should send back the Goods or deliver them back to us at the address shown overleaf, without undue delay and in any event not later than 14 days after the day on which you communicate your cancellation of this Agreement to us.

7. Any reduction in the total refund will be determined by Carspring, in its sole discretion and Carspring will prove an accounting to the buyer that reflects the amount and reason of any deductions. Following a refund to the buyer by Carspring, as an owner of the vehicle, Carspring is able to list the vehicle for sale.
